A Nvidia comprará a designer de chips ARM, apoiada pelo SoftBank Group, por até US$ 40 bilhões (R$ 212 bilhões), disseram as empresas nesta segunda-feira (14), em um acordo que deve remodelar o setor global de semicondutores.

A venda coloca a ARM, um fornecedor vital para a Apple e outras empresas do setor, sob o controle de um único player e enfrenta um provável conflito com reguladores e rivais da Nvidia, a maior empresa de chips dos Estados Unidos por capitalização de mercado.

Poucas horas após o anúncio, críticos questionaram como a ARM manteria sua abordagem aberta ao se tornar propriedade de uma empresa norte-americana em um momento de atrito com a China.

O presidente-executivo da Nvidia, Jensen Huang, enfatizou que a ARM manteria seu modelo de licenciamento neutro e o expandiria licenciando a propriedade intelectual da Nvidia pela primeira vez.

“Queremos expandir a Arm e torná-la ainda maior”, disse ele a analistas em uma teleconferência.

Para o Softbank, a venda marca uma saída antecipada da ARM, que adquiriu por US$ 32 bilhões (R$ 170 bilhões). O presidente-executivo Masayoshi Son destacou o potencial da Arm, mas está reduzindo suas participações em ativos importantes para levantar capital.

A mudança ocorre no momento em que executivos do SoftBank, frustrados com o desempenho das ações do grupo, estão em negociações iniciais sobre fechar o capital do grupo de tecnologia japonês, disse uma fonte à Reuters. Essas negociações podem ganhar ímpeto após a venda da Arm. As ações do SoftBank subiram 10% na bolsa de Tóquio.

A Nvidia pagará ao SoftBank US$ 21,5 bilhões em ações e US$ 12 bilhões em dinheiro, incluindo US$ 2 bilhões. O negócio verá a SoftBank e seu Vision Fund de 100 bilhões de dólares, que tem uma participação de 25% na Arm, adquirir uma participação na Nvidia entre 6,7% e 8,1%.

Espera-se que o negócio seja concluído em março de 2022.
