A Oracle venceu a Microsoft na batalha pelas operações norte-americanas do TikTok com um acordo estruturado como uma parceria, em vez de uma venda direta para tentar apaziguar as tensões geopolíticas entre Pequim e Washington, disseram pessoas a par do assunto.

A ByteDance, proprietária do aplicativo, estava em negociações para vender as operações do TikTok nos EUA para a Oracle ou para um consórcio liderado pela Microsoft depois que presidente dos EUA, Donald Trump, ordenou a venda no mês passado e ameaçou proibir o popular aplicativo no país.

As negociações da venda foram suspensas após a China atualizar suas regras de controles de exportação no final do mês passado para impedir a transferência do algoritmo do TikTok para um comprador estrangeiro. A Reuters relatou na semana passada que o governo chinês prefere ver o aplicativo nos Estados Unidos do que deixá-la ser parte de uma venda forçada.

Segundo a proposta mais recente, a Oracle será parceira de tecnologia da ByteDance e assumirá o gerenciamento dos dados de usuários do TikTok nos Estados Unidos, disseram as fontes à Reuters no domingo. A Oracle também está negociando uma participação nas operações do aplicativo nos EUA, acrescentaram.

Alguns dos principais investidores da ByteDance, incluindo as empresas de investimento General Atlantic e Sequoia, também receberão participações minoritárias nas operações do TikTok nos EUA sob o acordo proposto, disse uma das fontes.

Não está claro se Trump, que deseja que uma empresa de tecnologia dos Estados Unidos seja dona da maior parte do TikTok, aprovará o acordo proposto. O Comitê de Investimento Estrangeiro dos Estados Unidos (CFIUS), um painel do governo que analisa negócios para potenciais riscos à segurança nacional, está supervisionando as negociações entre a ByteDance e a Oracle.

A ByteDance planeja argumentar que a aprovação do CFIUS de dois anos atrás da compra da seguradora norte-americana Genworth Financial pela China Oceanwide Holdings Group oferece um precedente para a estrutura de negócios que está propondo com a Oracle, disseram as fontes.

Nesse acordo, a China Oceanwide concordou em usar um provedor de serviços terceirizado com sede nos Estados Unidos para gerenciar os dados dos segurados da Genworth nos Estados Unidos. A ByteDance argumentará que um acordo semelhante com a Oracle pode proteger os dados dos usuários do TikTok nos EUA, disseram as fontes.

A ByteDance e a Oracle não responderam imediatamente aos pedidos de comentários. A Casa Branca não quis comentar.
